Terms of Service

1. Description of Service

LeanTrack is a software-as-a-service (SaaS) operations platform designed for independent consultants and small consulting firms. The Service provides tools for invoicing, accounts receivable tracking, reimbursable expense management, receipt capture, cash flow forecasting, engagement tracking, proposals with electronic signatures, and financial reporting.

2. Account Registration

To use the Service, you must create an account through our authentication provider (Clerk). You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You must notify us immediately if you become aware of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to safeguard your credentials.

3. Free Trial & Subscription

New accounts receive a 14-day free trial with access to the Service. No credit card is required to start a trial. At the end of the trial period, you must subscribe to a paid plan (Starter or Pro) to continue using the Service.

Subscription billing is handled by our authentication and billing provider (Clerk). LeanTrack does not directly process, store, or have access to your payment card information. Subscription fees, plan details, and billing cycles are presented at the time of purchase. All fees are non-refundable except where required by law.

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. You will retain access to the Service until then.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable local, state, national, or international law
• Upload malicious files, attempt to gain unauthorized access to the Service or its infrastructure, or interfere with other users' use of the Service
• Abuse AI-powered features (such as receipt parsing) by submitting content designed to extract model behavior, circumvent usage limits, or generate output unrelated to the Service's intended purpose
• Share your account credentials with others or allow multiple individuals to use a single account, unless your plan explicitly permits it
• Use the Service to store or transmit content that infringes on the intellectual property rights of others
• Reverse engineer, decompile, or disassemble any part of the Service, or attempt to derive its source code
• Use the Service to send unsolicited bulk email or spam through the invoice email delivery feature

We reserve the right to suspend or terminate accounts that violate these terms, with or without notice, depending on the severity of the violation.

5. Your Data & Content

You retain full ownership of all data and content you upload or create through the Service ("Your Content"). By using the Service, you grant us a limited, non-exclusive license to store, process, display, and transmit Your Content solely as necessary to provide and improve the Service — for example, storing invoice data, sending emails on your behalf, and processing receipts through AI-powered parsing.

We will not access, use, or share Your Content for any purpose other than providing the Service, except as required by law or as described in our Privacy Policy.

6. Intellectual Property

The Service — including its design, code, features, documentation, and branding — is owned by FabrixPro LLC and protected by intellectual property laws. These Terms do not grant you any right, title, or interest in the Service beyond the limited right to use it as described here.

7. AI Features

LeanTrack includes AI-powered features, such as automated receipt parsing, that use third-party machine learning models (Google Generative AI) to extract information from uploaded documents. These features are provided as an assistive tool.

AI-generated output may contain errors. You are solely responsible for reviewing and verifying the accuracy of any AI-extracted data before relying on it for invoicing, tax reporting, or other business decisions. FabrixPro LLC is not liable for any losses resulting from inaccurate AI output.

8. Electronic Signatures

The Service includes a proposal and electronic signature feature. By using this feature, you acknowledge that electronic signatures created through LeanTrack are intended to be legally binding under applicable electronic signature laws (such as the U.S. ESIGN Act and UETA). You are responsible for ensuring that the use of electronic signatures is appropriate and valid for your specific use case and jurisdiction.

9. Third-Party Services

The Service integrates with third-party providers (including Clerk, Convex, Google Generative AI, and Resend) to deliver its functionality. We are not responsible for the availability, performance, or policies of these third-party services. Your use of such services is subject to their respective terms and privacy policies.

10. Limitation of Liability

To the maximum extent permitted by applicable law, FabrixPro LLC and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of profits, data, business opportunities, or goodwill — arising out of or in connection with your use of the Service, even if we have been advised of the possibility of such damages.

Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the event giving rise to the claim.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected.

LeanTrack is a business operations tool, not a licensed accounting, legal, or tax advisory service. You should consult qualified professionals for accounting, legal, and tax advice.

12. Termination

Either party may terminate this agreement at any time. You may stop using the Service and delete your account. We may suspend or terminate your account if you violate these Terms or if we discontinue the Service.

Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days following termination to allow you to export your information, after which it will be deleted in accordance with our Privacy Policy. Sections of these Terms that by their nature should survive termination (including Limitation of Liability, Disclaimer of Warranties, and Governing Law) will continue to apply.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict of law provisions.

In the event of a dispute arising from these Terms or the Service, the parties agree to first attempt resolution through good-faith negotiation. If the dispute is not resolved within 30 days, either party may pursue binding arbitration or litigation in the state or federal courts located in Texas.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through an in-app notification at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
